9. Intellectual Property and License Grant

  1. License Grant. Each entrant retains ownership of any original intellectual property rights in the Agent they develop for the Contest. However, by submitting an Agent, each entrant grants AAI a worldwide, royalty-free, non-exclusive license to use, reproduce, display, perform, distribute, and make derivative works of the Agent for the purpose of operating, promoting, and improving AAI Bot Store and related products or services. In addition, AAI may record or produce a separate video announcing or featuring the Winner in an interview (the “Announcement Video”), which may include the individual’s name, image, likeness, and biographical information. By participating as a Finalist or Winner, each individual grants AAI and its affiliates a perpetual, worldwide, royalty-free, and irrevocable license to use, reproduce, edit, display, and distribute the Submission Video and Announcement Video (together, the “Videos”), in whole or in part, in any format or media now known or hereafter developed, for lawful business purposes, including marketing, promotional, and advertising activities such as on AAI’s website, social media channels, press releases, and other marketing materials. If a Finalist or Winner later wishes for AAI to stop using their Video(s) in future marketing materials, they may submit a written request to AAI, and AAI will make reasonable efforts to remove the applicable Video(s) from active marketing use on a prospective basis.
